Specific project work is governed by separate proposals, statements of work, service agreements, or contracts ("Project Agreements"). If there is a conflict between these Terms and a signed Project Agreement, the Project Agreement will control for that engagement.

Information on our website, including pricing previews, feature descriptions, and timelines, is provided for general guidance only and does not constitute a binding offer unless confirmed in writing.

4. Client Responsibilities

When you engage SystemGrid for a software project, you agree to:

  • Provide accurate requirements, feedback, and approvals within agreed timelines
  • Supply necessary business information, credentials, and access required for delivery
  • Ensure you have the right to share any data, content, or materials you provide to us
  • Review deliverables promptly and report issues within the review period defined in your Project Agreement
  • Maintain confidentiality of credentials, staging links, and internal documentation we provide

Delays caused by missing information, late approvals, or third-party dependencies may affect delivery schedules and costs.

5. Intellectual Property

Website content

All content on this website — including text, branding, graphics, logos, layouts, and software demonstrations — is owned by or licensed to SystemGrid Software Company and is protected by applicable intellectual property laws. You may not reproduce, distribute, or commercially exploit website content without our prior written consent.

Project deliverables

Ownership of custom software, source code, designs, documentation, and other deliverables will be defined in your Project Agreement. Unless otherwise agreed in writing, SystemGrid retains ownership of its pre-existing tools, frameworks, libraries, templates, and general know-how used in delivery.

6. Payment, Invoicing, and Refunds

Fees, milestones, payment schedules, and accepted payment methods are specified in your proposal or Project Agreement. Unless otherwise stated:

  • Invoices are due according to the payment terms stated in the agreement
  • Late payments may pause work, delay delivery, or incur additional charges where permitted by law
  • Deposits and completed milestone payments are generally non-refundable once work has commenced
  • Third-party costs such as hosting, domains, APIs, licenses, or payment gateway fees may be billed separately

7. Confidentiality

Both parties may receive confidential business, technical, or operational information during discussions or project delivery. Each party agrees to use confidential information only for the permitted purpose and to protect it with reasonable care. Confidentiality obligations do not apply to information that is publicly available, independently developed, or lawfully obtained from another source.

8. Warranties and Disclaimers

We strive to deliver reliable, production-ready software and professional services. However, except as expressly stated in a Project Agreement:

  • Our website and services are provided on an "as is" and "as available" basis
  • We do not guarantee uninterrupted website access or error-free operation in every environment
  • We are not responsible for third-party platforms, hosting outages, or integrations outside our control
  • You are responsible for how you use delivered systems and for compliance with laws applicable to your business

9. Limitation of Liability

To the fullest extent permitted by law, SystemGrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, business interruption, or loss of data, arising from your use of the website or our services.

Our total liability for any claim relating to the website or a service engagement shall not exceed the amount paid by you to SystemGrid for the specific service giving rise to the claim during the twelve (12) months before the event, unless a different limit is stated in your Project Agreement.

10. Termination

We may terminate or suspend website access or service discussions if you breach these Terms or if continued engagement becomes impractical due to non-payment, misuse, or legal risk. Project termination, handover, and outstanding payment obligations are handled according to the applicable Project Agreement.

11. Third-Party Links and Services

Our website may reference or link to third-party websites, tools, or services. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is subject to their own terms and privacy policies.

12. Governing Law

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles, except where mandatory local consumer or data protection laws apply to you. Disputes should first be raised with us directly so we can attempt to resolve them in good faith.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page. Continued use of the website after changes become effective constitutes acceptance of the revised Terms.
